(\u201cXanadu,\u201d \u201cwe,\u201d \u201cour,\u201d \u201cus\u201d). By engaging our Services, the client (\u201cClient,\u201d \u201cyou,\u201d \u201cyour\u201d) agrees to be bound by these Terms.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>1. Scope of Services<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Xanadu provides IT consulting, cloud architecture, systems integration, analytics, development, and support services as described in statements of work (SOWs), proposals, or agreements mutually approved by both parties.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Services may include, but are not limited to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Enterprise architecture and cloud design<\/li>\n\n\n\n<li>Systems integration and API development<\/li>\n\n\n\n<li>Data modeling, analytics, and ETL development<\/li>\n\n\n\n<li>Technical assessments, modernization planning, and migration<\/li>\n\n\n\n<li>Project management, QA, and support<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>2. Engagement and Deliverables<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">All Services will be delivered according to the terms set out in an SOW or project agreement. Deliverables, timelines, and responsibilities will be clearly defined in writing prior to commencement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Changes to deliverables or scope require written approval and may impact cost, schedule, or resource allocation.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>3. Client Responsibilities<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Client agrees to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Provide access to information, systems, environments, and personnel necessary for service delivery<\/li>\n\n\n\n<li>Ensure timely feedback, approvals, and decisions<\/li>\n\n\n\n<li>Maintain appropriate backups and controls of their systems and data<\/li>\n\n\n\n<li>Provide secure access credentials for environments Xanadu is authorized to use<\/li>\n\n\n\n<li>Ensure all required third-party licenses are in place<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Delays caused by insufficient access, resources, or decision-making may affect schedules and fees.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>4. Fees, Invoicing, and Payment<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Fees may be structured as:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Time and materials (hourly or daily rate)<\/li>\n\n\n\n<li>Fixed-fee engagements<\/li>\n\n\n\n<li>Retainer or ongoing support agreements<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Invoices are due within <strong>30 days<\/strong> unless otherwise specified. Late payments may incur interest charges at a reasonable rate.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Expenses (travel, lodging, specialized software, cloud usage fees) will be billed to the Client when pre-approved.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>5. Confidentiality<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Confidential information includes, but is not limited to:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Business, technical, financial, or customer data<\/li>\n\n\n\n<li>Architectural diagrams, configurations, and system details<\/li>\n\n\n\n<li>Project documentation and communications<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Confidentiality obligations continue after the end of the engagement unless otherwise agreed.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>6. Intellectual Property<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Unless otherwise specified in an SOW:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Products, tools, frameworks, code libraries, or methodologies owned by Xanadu remain Xanadu\u2019s intellectual property.<\/li>\n\n\n\n<li>Xanadu may reuse non-client-specific know-how, patterns, and architectural approaches.<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>7. Data Protection and Security<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Xanadu will exercise reasonable technical and organizational measures to protect Client data.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Client remains responsible for:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Compliance with applicable laws and regulations<\/li>\n\n\n\n<li>Secure operation of their own systems<\/li>\n\n\n\n<li>Data accuracy and backup of all data provided to Xanadu<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Xanadu is not responsible for data loss caused by Client systems, third-party platforms, or infrastructure failures beyond Xanadu\u2019s control.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>8. Third-Party Services and Dependencies<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Xanadu may recommend or integrate third-party cloud platforms (AWS, Azure, Oracle, IBM), tools, or APIs.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Client acknowledges:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Third-party providers operate under their own terms and policies<\/li>\n\n\n\n<li>Xanadu is not liable for outages, performance issues, or changes imposed by such providers<\/li>\n\n\n\n<li>Licensing and usage fees for third-party services are the Client\u2019s responsibility unless stated otherwise<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>9. Warranties and Disclaimers<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Xanadu provides Services with professional skill and care but does <strong>not<\/strong> warrant that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Deliverables will be error-free or uninterrupted<\/li>\n\n\n\n<li>Third-party platforms will perform as expected<\/li>\n\n\n\n<li>Solutions will meet the Client\u2019s requirements without proper validation and testing<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Except where prohibited by law, all implied warranties are disclaimed.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>10. Limitation of Liability<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">To the maximum extent permitted by law:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Xanadu\u2019s liability is limited to the amount paid for the Services giving rise to the claim<\/li>\n\n\n\n<li>Xanadu is not liable for indirect, incidental, consequential, or punitive damages<\/li>\n\n\n\n<li>Liability for data loss, lost profits, or business interruption is excluded<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">These limitations apply even if Xanadu has been advised of possible damages.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>11. Indemnification<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The Client agrees to indemnify and hold Xanadu harmless from claims arising from:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Misuse of deliverables<\/li>\n\n\n\n<li>Client-provided content or data<\/li>\n\n\n\n<li>Unauthorized modifications to systems<\/li>\n\n\n\n<li>Violations of third-party licenses or agreements<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>12. Termination<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Either party may terminate a contract or SOW:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>With written notice for convenience (terms defined in each SOW)<\/li>\n\n\n\n<li>Immediately if the other party breaches material terms and fails to remedy within a reasonable period<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Upon termination:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The Client must pay all outstanding fees for Services rendered<\/li>\n\n\n\n<li>Xanadu will provide completed deliverables up to the termination date<\/li>\n<\/ul>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>13. Governing Law<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">These Terms will be governed by the laws of <strong>British Columbia, Canada<\/strong>, unless otherwise agreed in writing.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Disputes will be resolved through negotiation, and if necessary, binding arbitration in British Columbia.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>14. Amendments<\/strong><\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Xanadu may update these Terms periodically.
